Terms & Conditions

"Account" means your registered account on the Giftpy platform.

"Content" means any text, images, designs, or other materials you upload, create, or share through our Services.

"Products" means the corporate gifts, merchandise, and related items available for purchase through our platform.

"User" or "you" means any individual or entity that accesses or uses our Services.

2.1. You must be at least 18 years of age or the age of majority in your jurisdiction to use our Services.

2.2. If you are registering on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2.3. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

2.4. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.5. You must notify us immediately of any unauthorized use of your account or any other security breach.

3.1. Giftpy provides a corporate gifting platform that allows businesses to browse, customize, and order gifts for clients, employees, and partners.

3.2. All Product descriptions, images, and specifications are provided for informational purposes. We strive for accuracy but do not guarantee that descriptions are error-free.

3.3. We reserve the right to modify, discontinue, or limit the availability of any Products or Services at any time without prior notice.

3.4. Customization services are subject to our design guidelines and approval process. We reserve the right to reject any Content that violates our policies or applicable laws.

4.1. All prices are displayed in Singapore Dollars (SGD) unless otherwise stated and are exclusive of applicable taxes and shipping fees.

4.2. We reserve the right to modify prices at any time. Price changes will not affect orders that have already been confirmed.

4.3. Payment must be made in full at the time of order unless credit terms have been agreed upon in writing.

4.4. We accept payment via credit/debit cards, bank transfers, and other methods as indicated on our platform.

4.5. An order is considered confirmed only upon receipt of payment and our order confirmation email.

4.6. For bulk orders or customized Products, a non-refundable deposit may be required before production begins.

5.1. Delivery times are estimates only and are not guaranteed. Delays may occur due to factors beyond our control.

5.2. Risk of loss and title for Products pass to you upon delivery to the shipping carrier.

5.3. You are responsible for providing accurate delivery information. We are not liable for delays or failures caused by incorrect addresses.

5.4. For international shipments, you are responsible for all customs duties, taxes, and import fees imposed by the destination country.

5.5. We partner with trusted logistics providers including LIMTEH for reliable fulfillment across Singapore, Malaysia, and the region.

6.1. Orders may be cancelled within 24 hours of placement, provided production or fulfillment has not begun.

6.2. Customized or personalized Products cannot be returned or refunded unless they are defective or materially different from what was ordered.

6.3. For non-customized Products, returns are accepted within 7 days of delivery in original, unopened condition. Return shipping costs are borne by the customer.

6.4. Refunds will be processed within 14 business days of receiving the returned Products and will be credited to the original payment method.

6.5. Perishable items (e.g., food hampers) are non-refundable unless received damaged or spoiled.

7.1. All intellectual property rights in the Services, including but not limited to trademarks, logos, designs, and software, are owned by or licensed to Giftpy.

7.2. You retain ownership of any Content you upload but grant us a non-exclusive, royalty-free license to use, reproduce, and display such Content for the purpose of providing the Services.

7.3. You represent and warrant that you own or have the necessary rights to use any Content you upload and that it does not infringe any third-party rights.

7.4. You may not copy, modify, distribute, or create derivative works from any part of our Services without our prior written consent.

8.1. You agree not to use our Services for any unlawful purpose or in violation of these Terms.

8.2. You shall not upload, submit, or transmit any Content that:

• Is unlawful, harmful, threatening, abusive, defamatory, or obscene
• Infringes any patent, trademark, copyright, or other intellectual property rights
• Contains viruses or any other harmful code
• Violates the privacy or publicity rights of any third party

8.3. We reserve the right to remove any Content and suspend or terminate accounts that violate these Terms.

9.1. Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.2. We comply with the Personal Data Protection Act 2012 (PDPA) of Singapore in our handling of personal data.

9.3. By using our Services, you consent to the collection, use, and disclosure of your personal data as described in our Privacy Policy.

10.1. To the fullest extent permitted by law, Giftpy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services.

10.2. Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amount paid by you for the relevant Products or Services in the 12 months preceding the claim.

10.3. We do not exclude or limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by Singapore law.

You agree to indemnify, defend, and hold harmless Giftpy, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Any Content you submit or upload to the Services

12.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.

12.2. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules.

12.3. The seat of arbitration shall be Singapore. The language of the arbitration shall be English.

12.4. Notwithstanding the above, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction.

13.1. We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the platform.

13.2. We will notify you of material changes via email or through a prominent notice on our platform.

13.3. Your continued use of the Services after any modifications indicates your acceptance of the updated Terms.

14.1. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Giftpy regarding the Services.

14.2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3. Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4. Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights at any time without notice.

14.5. Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
